1. Agreement to Terms

By accessing and using Nytebird's services, you accept and agree to be bound by the terms and provision of this agreement. These Terms of Service ("Terms") apply to all users of our executive virtual assistant services, website, and any other services provided by Nytebird.

If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Nytebird provides professional executive virtual assistant services designed to support business leaders and executives. Our services include but are not limited to:

• Administrative support and task management
• Email and communication management
• Calendar and scheduling coordination
• Research and data analysis
• Project coordination and follow-up
• Document preparation and management
• Travel and logistics coordination
• Customer and vendor relationship management

Services are provided on a full-time equivalent basis with professional, skilled virtual assistants who are trained to handle executive-level responsibilities.

3. User Accounts and Registration

To access certain features of our services, you may be required to register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate and current
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Pricing and Payment Terms

4.1 Service Fees

Our executive virtual assistant services are provided at a flat monthly rate of $2,800 USD. This rate includes:

• Full-time equivalent support (approximately 160 hours per month)
• Professional virtual assistant assignment
• 24/7 service availability during business hours
• Regular progress updates and reporting
• Quality assurance and supervision

4.2 Payment Terms

• Payment is due monthly in advance
• Payments are processed via secure payment methods
• Late payments may result in service suspension
• All fees are non-refundable except as expressly stated in these terms
• Price changes will be communicated 30 days in advance

4.3 Billing and Invoicing

Invoices are generated monthly and sent via email. Payment is due within 15 days of invoice date unless otherwise agreed upon in writing.

5. Service Level Agreement

5.1 Service Availability

We strive to provide consistent, high-quality service during agreed business hours. Our virtual assistants are available Monday through Friday, with response times typically within 2-4 hours during business hours.

5.2 Quality Standards

Our virtual assistants undergo rigorous training and background checks. We maintain quality assurance processes to ensure consistent service delivery and professional standards.

5.3 Confidentiality

All virtual assistants are bound by strict confidentiality agreements. We implement security measures to protect your sensitive business information and maintain client confidentiality at all times.

6. User Obligations and Conduct

As a user of our services, you agree to:

• Provide clear, timely instructions and feedback
• Respect the professional boundaries and work hours of your virtual assistant
• Provide necessary access to systems, tools, and information required for task completion
• Comply with all applicable laws and regulations
• Not engage in illegal, harmful, or unethical activities
• Not request services that violate intellectual property rights
• Respect the privacy and confidentiality of others

7. Intellectual Property

7.1 Our Intellectual Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, and software, are owned by Nytebird and are protected by copyright, trademark, and other intellectual property laws.

7.2 Your Intellectual Property

You retain ownership of all intellectual property rights in content and materials you provide to us. By providing content for our services, you grant us a limited license to use, modify, and process such content solely for the purpose of providing our services to you.

7.3 Work Product

Unless otherwise agreed in writing, work product created by our virtual assistants in the course of providing services belongs to you. We retain the right to use general methodologies and processes developed during service delivery.

8. Data Protection and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of information as outlined in our Privacy Policy.

9. Termination

9.1 Termination by User

You may terminate your subscription at any time. Termination will be effective at the end of your current billing period. No refunds will be provided for partial months.

9.2 Termination by Nytebird

We reserve the right to terminate or suspend your account and access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

9.3 Effect of Termination

Upon termination, your right to use our services ceases immediately. We will provide reasonable assistance in transitioning your work and data, subject to payment of outstanding fees.

10. Limitation of Liability

In no event shall Nytebird, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use our services
• Any unauthorized access to or use of our servers
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, trojan horses, or the like
• Any errors or omissions in any content or for any loss or damage

Our total liability shall not exceed the amount paid by you for our services in the 12 months preceding the claim.

11. Disclaimers

Our services are provided on an "as is" and "as available" basis. We make no warranties, expressed or implied, and hereby disclaim and negate all other warranties including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

We do not warrant that:

• The service will meet your specific requirements
• The service will be uninterrupted, timely, secure, or error-free
• The results that may be obtained from the use of the service will be accurate or reliable
• Any errors in the service will be corrected

12. Indemnification

You agree to defend, indemnify, and hold harmless Nytebird and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• Your use and access of the service
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your use of the service caused damage to a third party

13. Governing Law and Jurisdiction

These Terms shall be interpreted and governed by the laws of Hong Kong, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Hong Kong, or through the courts of Hong Kong if arbitration is not applicable.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our service and supersede and replace any prior agreements.
